Carol’s Daughter/ Jay Z and Mary J Blige Heart of the City Tour ("Sweepstakes") Official Rules

1. NO PURCHASE NECESSARY. A PURCHASE WILL NOT AFFECT OR IMPROVE THE CHANCES OF WINNING. Sweepstakes is subject to all applicable laws and regulations. Void where prohibited or restricted by law. All amounts are in U.S. dollars.
2. The Sweepstakes’ sponsor is Carol’s Daughter Holdings. ("Carol’s Daughter"), 960 Atlantic Ave., Brooklyn N.Y. 11238.
3. Sweepstakes is open only to legal residents of the United States (excluding Puerto Rico, Guam and all other U.S. and foreign territories and possessions not otherwise mentioned herein) and Canada (excluding Quebec) who are at least 13 years of age as of the date of entry. If you are a minor in your state, province or territory of residence, you must obtain your parent’s or legal guardian’s consent before participating in the Sweepstakes. Sweepstakes is not open to employees, independent contractors, officers, directors, agents or representatives of Carol’s Daughter and each of Carol’s Daughter’s parents, affiliates, subsidiaries, successors and/or assigns, Carol’s Daughter’s advertising, promotion and fulfillment agencies, legal advisors, and the immediate family members (mother, father, brother, sister, daughter, son or spouse, regardless of where they live) and persons living in the same household (whether or not related) of any of the foregoing (collectively, "Sweepstakes Entities").
4. To enter the Sweepstakes, visit www.carolsdaughter.com and complete an online entry form. Only one (1) entry per person in this Sweepstakes. Use of multiple email addresses to enter is prohibited. In the event of a dispute regarding the identity of the person submitting an entry, the entry will be deemed submitted by the authorized account holder of the email address at the time of entry. "Authorized account holder" is the natural person who is assigned the email address by the internet service provider or other organization responsible for assigning email addresses for the domain associated with the email address in question.
5. The Sweepstakes begins on March 22, 2008 at 5:00 p.m. Eastern Standard Time ("EST") and ends on April 21, 2008 at 5:00 p.m. EST ("Sweepstakes Period"). Only entries received during the Sweepstakes Period will be eligible. Carol’s Daughter is not responsible for lost, late, incomplete, illegible, stolen, misdirected, delayed or destroyed entries. Incomplete information may result in disqualification of entry.
6. A total of five (5) prizes will be awarded. Approximate retail value of $2,000 for Grand Prize and $150 for “runner-ups.” All prizes are non-refundable and non-transferable, cannot be combined with any other special offer or promotion and must be accepted as awarded. Prizes may not be exchanged for cash value or substituted, except that Carol’s Daughter reserves the right in its sole discretion to substitute with either the cash value of the applicable prize that would otherwise have been awarded, or a prize or prizes of equal or greater value. Applicable federal, state, provincial or local taxes and any other costs or expenses associated with the prizes or the use thereof are the sole responsibility of the winners. All prizes will be awarded. Approximate total value of all prizes is $2,600. Prizes will be delivered to confirmed winners.
7. A total of ten (5) entrants will be selected at random, through one drawing conducted by Carol’s Daughter. The drawing will take place after the last day of the Sweepstakes Period. Attempts will be made to notify selected entrants by email or by telephone (Carol’s Daughter reserves the right to determine the method of notification). Selected entrants must claim their prize within five (5) business days after the date of notification of such prize. If the selected entrant cannot be contacted, or fails to claim their prize within the time specified, his/her entry will be disqualified, he/she will not receive any prize and the prize will be awarded to an alternate entrant from the pool of eligible entries in Carol’s Daughter’s sole discretion in accordance with these official rules. Odds of winning depend on the total number of eligible entries received. All decisions of Carol’s Daughter are final and binding on all entrants.
8. All entries become the property of Carol’s Daughter, and will not be acknowledged or returned. By participating in the Sweepstakes, each entrant (or, if entrant is a minor, entrant’s parent or legal guardian) agrees to comply with these official rules and that Carol’s Daughter is not responsible for any incorrect or inaccurate information, whether caused by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error that may occur in the processing of submissions in the Sweepstakes. Carol’s Daughter assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or tampering with or hacking of, the web site or any technical failure or malfunction, or any injury or damage to an entrant’s or any other person’s computer or other property. IN NO EVENT WILL CAROL’S DAUGHTER OR ANY SWEEPSTAKES ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THE SWEEPSTAKES, ANY PRIZES WON, YOUR ACCESS TO OR USE OF ANY OF CAROL’S Daughter’s WEB SITE, OR THE ACCESSING, DOWNLOADING AND/OR PRINTING OF ANY MATERIAL AVAILABLE ON SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON CAROL’S Daughter’s WEB SITE IS PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSIONS OF IMPLIED WARRANTIES OR CONDITIONS SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.
9. By accepting a Sweepstakes' prize, each winner (or, if winner is a minor, winner’s parent or legal guardian), where permitted by law, grants (and agrees to confirm that grant in writing at Carol’s Daughter’s request) to Carol’s Daughter the right to use and publish winner’s name, address, portrait, picture, voice, likeness and comments for advertising, trade and promotional purposes without notification, review or approval, and without additional consideration, worldwide and on the Internet. The selected entrant (or, if the selected entrant is a minor, selected entrant’s parent or legal guardian) may be required to complete, sign and return an affidavit of eligibility and/or a liability/publicity release, which must be returned within seven (7) days from the date of notification. Failure to sign and return such documents within the specified time, or if prize or prize notification is returned as non-deliverable, or if selected entrant is found to be ineligible or otherwise not in compliance with these official rules, or, where the selected entrant is a Canadian resident, if selected entrant (or, if entrant is a minor, entrant’s parent or legal guardian) fails to correctly answer the skill-testing question, prize will be forfeited and awarded to an alternate selected entrant in Carol’s Daughter’s sole discretion in accordance with these official rules. BY ACCEPTING A PRIZE, EACH WINNER (OR, IF WINNER IS A MINOR, WINNER’S PARENT OR LEGAL GUARDIAN) RELEASES AND AGREES TO INDEMNIFY AND HOLD HARMLESS CAROL’S DAUGHTER AND ALL SWEEPSTAKES ENTITIES FROM ANY AND ALL LIABILITY FOR ANY INJURY, LOSS OR DAMAGE OF ANY KIND TO PERSONS, INCLUDING DEATH, AND PROPERTY, ARISING FROM OR IN CONNECTION WITH ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE, PARTICIPATION IN THIS SWEEPSTAKES OR ANY SWEEPSTAKES-RELATED ACTIVITY.
10. If, for any reason, the Sweepstakes is not capable of running as planned because of circumstances including, but not limited to, unauthorized intervention, fraud, technical failures, or any other causes, which, in Carol’s Daughterâ€™s sole judgment, corrupts or affects the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Carol’s Daughter reserves the right, in its sole discretion and determination of fairness, to cancel, terminate, modify or suspend the Sweepstakes and to select the winners from entries received prior to such action, in accordance with these official rules.
11. By entering the Sweepstakes, each entrant (or, if entrant is a minor, entrant’s parent or legal guardian) acknowledges he/she has read, understands and will abide by these official rules. All issues and questions concerning the construction, validity, interpretation and enforceability of these official rules, or the rights and obligations of entrants and/or Carol’s Daughter in connection with the Sweepstakes, shall be governed by and construed in accordance with, the laws of the State of New York, without regard to the conflict of laws principles.
12. For a list of names of winners, send a self-addressed stamped envelope bearing sufficient postage for receipt by June 20, 2008, to: "Carol’s Daughter Share the Love Sweepstakes,” 960 Atlantic Ave., Brooklyn, N.Y., 11238. Vermont and Canadian residents may exclude stamp on return envelope.
13. The personal information collected from each entrant in the course of the Sweepstakes will be used by Carol’s Daughter for the purposes of administration of the Sweepstakes and as otherwise permitted in accordance with the Privacy Policy.
